Emerson to Acquire FLEXIM Flexible Industriemeßtechnik GmbH, a Provider of Clamp-On Ultrasonic Flow Measurement

Emerson announced a definitive agreement to acquire FLEXIM Flexible Industriemeßtechnik GmbH, a global provider of clamp-on FLEXIM Flexibleultrasonic flow measurement for liquids, gases and steam.

Headquartered in Berlin, Germany, Flexim brings highly differentiated, complementary measurement technology to Emerson, with an installed base of more than 100,000 flowmeters, as well as approximately 450 employees. Flexim provides accurate, low-maintenance clamp-on ultrasonic flow measurement technology for a broad range of end markets, including chemical, water & wastewater, life sciences, food & beverage, and power generation. 

The transaction will expand Emerson’s automation portfolio and measurement capabilities, complementing its existing flow measurement positions in Coriolis, differential pressure, magnetic, and vortex flow measurement. Emerson expects the global ultrasonic clamp-on flowmeter market to grow in the high single digits annually longer-term. Upon the close of the transaction, Flexim’s Berlin headquarters is planned to become Emerson’s Ultrasonic Flow Measurement Center of Excellence.

The transaction is expected to close by the end of Emerson’s fiscal 2023, subject to customary closing conditions. Emerson expects Flexim to be accretive to its sales growth, gross margins and adjusted EBITA margins. Terms of the transaction were not disclosed. Flexim will be reported within Emerson’s Measurement & Analytical segment.

 

 

Emerson to Acquire Afag Holding AG, a Provider of Electric Linear Motion, Feeding and Handling Automation Solutions

Emerson announced a definitive agreement to acquire Afag Holding AG, a provider of electric linear motion, feeding and handling automation solutions. 

Headquartered in Zell, Switzerland, Afag brings state-of-the-art technology and innovation to Emerson. The transaction will enhance Emerson’s capabilities in factory automation, one of the Company’s four priority adjacencies, and create a leading motion portfolio combining Afag’s electric linear motion solutions with Emerson’s pneumatic motion technology. Afag serves customers in end segments including battery manufacturing, automotive, packaging, medical, life sciences and electronics.

The transaction is expected to close by the end of Emerson’s fiscal 2023, subject to customary closing conditions, including receipt of regulatory approvals. Terms of the transaction were not disclosed. Afag will be reported within Emerson’s Discrete Automation segment.

Harry Forbes, ARC Advisory Group, commented, “Two summer days, two new Emerson acquisitions.  AFAG Holding provides components and subsystems for motion and material feeding/handling to subsystem and system integrators. The firm has roughly 300 employees and annual revenue of about $45 million.  The acquisition illustrates Emerson’s continued expansion into adjacencies to their historical process automation businesses, with the recently announced acquisition of measurement & test specialist NI (a.k.a. National Instruments) being by far the largest. While the challenge with NI is product development and execution, companies such as AFAG challenge Emerson with a far more widely distributed set of customers."
